By accessing or using SEO System ("the Platform"), operated by NetDNA, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform.
2. Description of Service
SEO System is a local SEO management platform that provides:
- Google Business Profile management and review monitoring
- Competitor tracking and keyword ranking analysis
- Hosted business websites and landing pages
- Online appointment booking with calendar sync
- AI-powered chat widgets, review responses, and content generation
- SMS and email campaign management
- Social media scheduling and publishing
- Google Search Console and Analytics integration
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized use of your account.
- You must be at least 16 years of age to use the Platform.
- One person or entity may maintain multiple business profiles under a single tenant account.
4. Subscription Plans and Payment
- The Platform offers free and paid subscription tiers with varying feature access and usage limits.
- Paid subscriptions are billed monthly or annually through Stripe.
- You may upgrade, downgrade, or cancel your subscription at any time.
- Refunds are handled on a case-by-case basis. Contact us for refund requests.
- We reserve the right to change pricing with 30 days' notice to existing subscribers.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws.
- Send spam, unsolicited messages, or bulk communications through our SMS or email services without proper consent from recipients.
- Upload malicious code, viruses, or harmful content to hosted websites.
- Attempt to access other users' accounts, data, or business profiles without authorization.
- Manipulate or fabricate reviews, ratings, or business information.
- Exceed the usage limits of your subscription plan through automated means.
- Resell or redistribute the Platform's services without written permission.
- Use the AI features to generate content that is deceptive, harmful, or violates third-party rights.
6. User Content
- You retain ownership of all content you upload to the Platform (business information, images, website content).
- By uploading content, you grant us a license to host, display, and transmit that content as necessary to provide the services.
- You are solely responsible for ensuring you have the right to use any content you upload, including images, text, and trademarks.
- We may remove content that violates these terms or applicable law.
7. Third-Party Integrations
- The Platform integrates with third-party services including Google, Microsoft, Stripe, and social media platforms.
- Your use of these integrations is subject to their respective terms of service and privacy policies.
- We are not responsible for the availability, accuracy, or actions of third-party services.
- You may connect and disconnect third-party accounts at any time.
- API rate limits and quotas imposed by third parties may affect feature availability.
8. Hosted Websites
- Business websites hosted on our subdomains (*.seo.netdna.ca) are subject to our content policies.
- We provide cloud backups of hosted site files with 30-day version history.
- We reserve the right to suspend or remove hosted sites that violate these terms.
- Custom domain support is available but requires proper DNS configuration on your end.
9. SMS and Email Communications
- You are responsible for obtaining proper consent before sending SMS or email communications to your customers through the Platform.
- All campaign messages must include an unsubscribe mechanism.
- You must comply with applicable anti-spam legislation (CASL, CAN-SPAM, GDPR).
- We may suspend messaging capabilities if we detect abuse or high complaint rates.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Platform is provided "as is" without warranties of any kind, express or implied.
- We do not guarantee specific SEO results, rankings, or business outcomes.
- We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
- We are not responsible for data loss due to circumstances beyond our reasonable control, though we maintain regular backups.
11. Termination
- You may close your account at any time by contacting us.
- We may suspend or terminate your account for violation of these terms, with notice when practical.
- Upon termination, your data will be retained for 30 days to allow for export, then permanently deleted.
- Provisions that by their nature should survive termination (liability, indemnification) will remain in effect.
12. Changes to Terms
We may update these Terms of Service from time to time. We will notify active users of material changes via email or platform notification. Continued use of the Platform after changes constitutes acceptance of the revised terms.
13. Governing Law
These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
